Agreement to these terms

These Terms & Conditions ("Terms") govern your use of cilantrorisk.com and the Cilantro client portal (together, the "Services"), operated by Cilantro Risk ("Cilantro", "we", "us"). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Who we are

Cilantro Risk is a commercial insurance brokerage. Insurance products are offered through licensed insurance producers. Licensing information is available on request and, where required, is displayed on this site.

Eligibility and business use

The Services are intended for businesses and their authorized representatives. By using the Services you represent that you are at least 18 years old and, where you act for an organization, that you have authority to bind it to these Terms.

Not advice; policy language controls

Content on the Services, including coverage summaries, comparisons, and analyses, is general information to support your review. It is not legal, tax, or accounting advice, and it is not a representation about what any policy covers.

Actual coverage is governed solely by the terms, conditions, and exclusions of the issued policy documents. If anything on the Services conflicts with an issued policy, the policy controls. Review your policy documents and direct coverage questions to a licensed broker.

No guarantee of coverage

Quotes, indications, and proposals presented through the Services are not offers to insure and do not bind coverage. Coverage is bound only when the insurer, or Cilantro acting with the insurer’s authority, confirms binding in writing. We do not guarantee that any insurer will offer terms or that any particular coverage, limit, or premium will be available.

Automated analysis

The Services use AI systems to read and extract information from the documents you share and to summarize and compare coverage. Automated output can contain errors or omissions and is provided to support, not replace, review of the underlying documents. Verify important information against your policy documents before relying on it.

Your account

You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your sign-in credentials, and for activity under your account. Tell us promptly at hello@cilantrorisk.com if you suspect unauthorized use.

Electronic communications

When you use the Services or email us, you consent to receive communications from us electronically, including by email and through the portal, and you agree that these electronic communications satisfy any legal requirement that they be in writing.

Your content

You retain ownership of the documents and information you upload. You grant Cilantro a license to host, process, and use them to provide the Services, including preparing analyses and submissions you request, and as described in our Privacy Policy. You represent that you have the right to share the documents you upload.

Feedback

If you send us suggestions or feedback about the Services, we may use them to improve the Services without restriction or obligation to you.

Acceptable use

You agree not to misuse the Services. Among other things, you will not: use the Services in violation of law; upload content you do not have the right to share; attempt to gain unauthorized access to the Services or their systems; interfere with their operation; or scrape, reverse engineer, or resell the Services without our written permission.

Intellectual property

The Services, including their design, text, graphics, and software, are owned by Cilantro or its licensors and are protected by intellectual property laws. Except for your own content, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

Third-party services

The Services rely on third-party providers, such as cloud hosting and sign-in services, and may link to third-party sites. We are not responsible for third-party services or their content.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law, Cilantro will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to the Services. To the fullest extent permitted by law, our total liability for claims arising out of or related to the Services will not exceed the greater of the fees you paid us in the 12 months before the claim or 100 US dollars.

Nothing in these Terms limits liability that cannot be limited by law, and nothing in these Terms limits an insurer’s obligations under an issued policy.

Indemnification

You agree to indemnify Cilantro against claims arising from your breach of these Terms or your misuse of the Services, to the extent permitted by law.

Termination

You may stop using the Services at any time. We may suspend or terminate access to the Services for breach of these Terms or to protect the Services and their users. Sections that by their nature should survive termination survive it.

Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Disputes arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.

General

These Terms and the Privacy Policy are the entire agreement between you and Cilantro about the Services and supersede any prior agreements about them. If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our not enforcing a provision is not a waiver of it.

You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. The Services evolve, and we may change or discontinue features of them over time.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and, where appropriate, notify you by email or through the portal. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
